Terms of Service

Fish for Leads provides a B2B outreach platform that helps you discover prospects, compose AI-drafted emails, send them via your own connected mailbox, and manage replies. The Service includes a web application, supporting APIs, and related documentation.

Features depend on your subscription plan as described at diplofze.com/#pricing. We may add, change, or remove features over time. Material reductions to a paid plan's features will be communicated 30 days in advance.

You must be at least 18 years old and authorized to enter into agreements on behalf of your business. You are responsible for maintaining the security of your account password and for all activity under your account.

You agree to notify us immediately at security@diplofze.com if you suspect unauthorized access.

If we offer a free trial, you may use the Service without charge for the trial period (typically 14 days). Your subscription will not begin or be billed until the trial period ends and you select a paid plan. We may modify or discontinue free trials at any time.

• Subscription fees are charged monthly in advance via Stripe.
• Prices are listed on our pricing page in US dollars (USD), exclusive of any applicable taxes.
• If a charge fails, we will attempt re-charge for 7 days. If still unsuccessful, your account is suspended until resolved.
• You may cancel at any time from your account billing page. Cancellation takes effect at the end of the current billing period; no partial-month refunds.
• We may change subscription prices with 30 days' notice. Price changes do not affect billing periods you have already paid for.

You agree NOT to use the Service to:

• Send unsolicited bulk mail in violation of anti-spam law (CAN-SPAM, GDPR, CASL, PECR, etc.) — see Section 6.
• Send phishing, malware, harassment, threats, or content that defames or violates the privacy of any person.
• Send mail relating to: pornography, illegal drugs, weapons sales, gambling without proper licensing, multi-level marketing, or any other category prohibited by your jurisdiction or by Gmail/Microsoft's acceptable-use policies.
• Impersonate any person or organization, or misrepresent your affiliation.
• Bypass the rate limits, security features, or sending caps of the Service.
• Scrape, frame, or reverse-engineer the Service except as permitted by law.
• Use the Service to compete with Fish for Leads or build a substantially similar product.

We may suspend or terminate accounts that violate these rules without notice.

YOU are the sender of every email transmitted via the Service. You are solely responsible for:

• The content, recipients, and lawfulness of every message you send.
• Maintaining a legitimate basis to contact each recipient (legitimate interest, consent, opt-in, or other lawful basis per applicable law).
• Honoring unsubscribe requests promptly (within 10 business days per CAN-SPAM).
• Maintaining accurate sender identification (no false "From", "Reply-To", or routing information).
• Setting up SPF, DKIM, and DMARC on your sending domain.
• Reputation and deliverability of your mailbox.

If your sending behavior generates spam complaints exceeding industry norms (>0.1% complaint rate or >5% hard-bounce rate), we may suspend your sending while we investigate.

You retain all rights to the data you enter into the Service (leads, templates, sent emails, etc.) ("Customer Data"). You grant us a limited, non-exclusive license to process Customer Data solely to provide the Service. We do not own your data and do not use it to train AI models.

You represent that you have all rights necessary to upload and process Customer Data through the Service, including any personal data of third parties.

The Service uses third-party AI models (currently Anthropic) to generate suggested email drafts and reply suggestions. Such drafts are suggestions only — you must review and approve each message before sending. We do not warrant that AI-generated text is accurate, legally compliant, or free from errors.

You take final responsibility for everything you send.

The Service, including all software, design, copy, and documentation, is owned by Fish for Leads and protected by copyright and other IP laws. We grant you a non-exclusive, non-transferable license to use the Service per these Terms for the duration of your subscription.

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own (no less than reasonable care). Confidential information does not include information that is publicly known, independently developed, or rightfully obtained from a third party.

We aim for 99.5% monthly uptime measured outside scheduled maintenance windows. Maintenance is typically performed during low-traffic hours (Sundays 02:00–06:00 UTC) and announced in advance when possible.

The Service may be temporarily unavailable due to: scheduled maintenance, third-party outages (Google, Microsoft, Anthropic, Supabase, Vercel), force majeure, or attacks.

By you: cancel anytime from your account; cancellation takes effect at end of the current billing period.

By us: we may suspend or terminate your account if you (a) breach these Terms, (b) fail to pay for 14+ days, (c) use the Service in a way that exposes Fish for Leads to legal or reputational risk, or (d) request such termination via written notice.

On termination, your data is retained for 30 days for restoration purposes, then permanently deleted (see Privacy Policy section 4).

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EMAILS SENT VIA THE SERVICE WILL ALWAYS REACH RECIPIENTS' INBOXES.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DIPLOFZE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Fish for Leads from any claim brought by a third party arising from: (a) your use of the Service in breach of these Terms, (b) your Customer Data, (c) your outreach activity (including any spam complaints, legal claims by recipients, or domain blacklisting).

These Terms are governed by the laws of Ghana, without regard to conflict-of-law principles. Any dispute will be resolved by binding arbitration in Accra, Ghana, except either party may seek injunctive relief in court to protect intellectual property or confidential information.

We may update these Terms periodically. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

• Entire agreement: these Terms (together with the Privacy Policy and any plan-specific documents) form the entire agreement between you and Fish for Leads.
• Severability: if any clause is found unenforceable, the rest remain in effect.
• No waiver: our failure to enforce any provision does not waive future enforcement.
• Assignment: you may not assign these Terms without our written consent; we may assign on notice in connection with a merger or acquisition.
